No Returns · No Refunds · No Exchange
Irrevocability, Non-Returnability, and Non-Refundability: It is hereby expressly and irrevocably covenanted that all machinery or allied goods transferred under this commercial instrument shall be absolutely non-returnable, non-exchangeable, and non-refundable. Once delivery is acknowledged, no claim, refund, or repurchase shall be entertained.
No Warranty or Guarantee Provided
Complete Absence of Warranties or Guarantees: All goods are supplied strictly on an “as-is, where-is” basis. The seller provides no express or implied warranty of any nature. The buyer assumes full responsibility for suitability and usage.
Buyer Fully Accepts the Goods at Delivery
Unconditional Acceptance and Voluntary Consent: Receipt of goods constitutes final and conclusive acceptance. No later rejection or objection shall be recognized.
Delivery Agents Have No Liability
Delivery personnel or logistics entities shall be fully absolved of any liability related to the goods. No claim shall be maintainable against any transporter or agent.
Buyer Must Inspect the Goods Before Accepting
Buyer’s Exclusive Duty of Inspection: The buyer must inspect and test the goods before or at delivery. The seller bears no responsibility for any post-delivery defects or dissatisfaction.
After Delivery, No Complaints or Claims Allowed
Finality of Delivery and Irrevocable Acceptance: After delivery, no complaint, malfunction, or defect claim shall be entertained.
Legal Matters Will Be Handled in Lucknow, Uttar Pradesh
Governing Law and Exclusive Jurisdiction: This transaction shall be governed by Uttar Pradesh law, and Lucknow courts shall have exclusive jurisdiction.
Buyer Must Protect and Indemnify the Seller
Indemnity and Hold Harmless: The buyer agrees to indemnify the seller from all losses, claims, or liabilities arising from the usage or resale of the goods.
This Is the Complete and Final Agreement
Entire Agreement and Non-Variation: These terms form the full agreement. No modifications shall be valid unless signed in writing by both parties.
